Vermont Wellesley Club Bylaws

Adopted at the Annual Meeting of the Club – Adopted April 27, 1963 (with changes 1968, 2014, and 2017)

ARTICLE I. Name

This organization shall be known as the Vermont Wellesley Club.

ARTICLE II. Purpose

The purpose of this Club shall be to promote the interests of Wellesley College and to encourage fellowship among Wellesley alumnae.

ARTICLE III. Membership

Section 1. Active Members

Any person on whom Wellesley College has conferred a degree, or any former student of Wellesley College may become an active member of the Club on payment of annual dues.  Only active members may vote and serve on the Board of Directors.

Section 2. Associate Members

  1. Any member of the faculty or administration, past or present, of Wellesley College may become an associate member of the Club upon payment of annual dues.
  2. Any non-Wellesley mother of a Wellesley daughter, past or present, may become an associate member of the Club upon payment of annual dues.

Section 3. Honorary Members

The Board of Directors may nominate special persons for honorary membership and such nominees shall become honorary members upon their election by a majority vote of the members at any business meeting.  Once elected, they always must be retained on the Club roster.  They do not pay dues.

ARTICLE IV. Officers

Section 1. Number

The officers shall consist of a President, a Vice President, a Secretary and a Treasurer.

Section 2. Election

Elections are held at the Annual Meeting. The President and Treasurer are elected in the same year and the Vice President and Secretary are elected in the following year. Should a Board member be unable/unwilling to complete her term, paper ballots in the form of a mailing will be used to contact dues-paying members to approve interim officers.

Section 3. Term

The term of office shall begin at the close of the annual meeting and is for two years.  Any vacancy in an elective office occurring between annual meetings may be filled for the remainder of the year by the President, with the approval of the Executive Committee.

Section 4. Duties

The duties of the officers shall be such as usually pertain to these offices.  (See Procedures for the Vermont Wellesley Club and Handbook for Club Officers).  The President must be dues-paying member of the Club during her term.

ARTICLE V. Board of Directors

Section 1. Members

The Board of Directors shall consist of the officers of the Club and committee representatives.

Section 2. Duties

The Board of Directors shall have the management and control of all affairs of the Club and direct its activities.

Section 3. Meetings

The Board of Directors shall meet upon the call of the President.

Section 4. Quorum

After notification to all members of the Board of Directors of a meeting, the members present shall constitute a quorum.

Section 5. Executive Committee

The Executive Committee is responsible for succession planning.  In advance of the Annual Meeting, openings in the slate of officers will be identified in club communications. This committee is composed of the elected officers of the Club and is empowered to act for the Board of Directors, in an emergency, between Board Meetings and as otherwise specified herein.  Minutes of action taken must be presented to the Board of Directors at its next meeting

ARTICLE VI. Committees

Section 1. Number

Committees shall be convened by the President, as appropriate, to achieve the mission of the Club.

ARTICLE VII. Meetings

Section 1. Number

There shall be at least one Annual Meeting of the Club, each year, at such time and place as the Board of Directors or Executive Committee shall determine, with additional regional meetings as desired.

Section 2. Annual Meeting

The annual meeting shall be a business meeting in the spring, at which time the election of officers shall take place as described in Article IV.  The Alumnae Executive Secretary shall be notified by the Club Secretary of the results of the elections within the two weeks following the meeting.

Section 3. Quorum

A quorum shall consist of the number present at a meeting of the Club for which notices have been mailed to all active members.

ARTICLE VIII. Finances

Section 1. Dues

Any changes in annual dues shall be determined for the forthcoming year and shall be voted upon for approval at the Annual Meeting.

ARTICLE IX. Fiscal Year

The fiscal year of this Club shall be July 1 to June 30.

ARTICLE X. Rules

Parliamentary questions shall be decided by “Robert’s Rules of Order Revised,” unless otherwise determined by the By-Laws and/or the Handbook for Club Officers.

ARTICLE XI. Amendments

These Bylaws may be amended by a two-thirds vote of the members present at any regular meeting, provided notice of the proposed amendment has been given at a previous meeting or included in the call of the meeting.
